GoodNudgin Terms of Service

Welcome to GoodNudgin! These Terms of Service ("Terms") are an agreement between you and [GoodMoyer LLC / legal entity TBD] ("GoodMoyer," "we," "us") for using GoodNudgin, including app.goodnudgin.com, Goodie (our AI friend), and any related texts, notifications, and features (together, the "Service").

Please read them. They're written to be readable, but they're still a legal agreement. Section 13 contains an arbitration agreement and class-action waiver [placeholder, pending attorney review] that affect how disputes are resolved.

By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you don't agree, please don't use the Service.

1. Who can use GoodNudgin

• You must be at least 18 years old and located in the United States.
• You need a Google account to sign in, and you must give us accurate information (including your phone number, if you add one).
• You're responsible for activity on your account and for keeping access to your Google account secure. Tell us at hello@goodnudgin.com if you think someone else has accessed your account.
• One person per account. Don't create an account for someone else, including your partner.

2. What GoodNudgin is (and isn't)

GoodNudgin suggests small, practical ideas, called nudges, to help you show your partner they're loved. Goodie is a friendly AI persona, not a person.

GoodNudgin is not therapy, counseling, or professional advice. It isn't a substitute for a licensed therapist, counselor, doctor, lawyer, or financial advisor, and it isn't a crisis service. Goodie doesn't diagnose, treat, or mediate conflicts.

If you or someone else is in danger, call 911. If you're in emotional distress or crisis, call or text 988 (Suicide & Crisis Lifeline). For help with relationship abuse, contact the National Domestic Violence Hotline at 1-800-799-7233 or text START to 88788.

No guarantees about your relationship. Every relationship is different. We can't promise any particular result, and we're not responsible for how your partner responds to a nudge or for the state of your relationship. Use your own judgment: you know your partner best. If a suggestion doesn't fit, skip it.

Suggestions can be imperfect. Nudges, especially AI-generated ones, may sometimes be inaccurate, poorly timed, or not right for your situation. Before acting, check that a nudge is safe, legal, affordable for you, and appropriate. That includes double-checking allergies and dietary needs before buying or making food, and checking plants or products for pet safety.

3. Information you share about your partner

GoodNudgin works best when you tell it about your partner: their name, pronouns, birthday, your anniversary, what they enjoy, what they'd never want, and how you think they feel loved. Because your partner may not use GoodNudgin, you're responsible for the information you enter about them. By entering it, you confirm that:

• You're in a genuine relationship with this person, and you're sharing information to do kind things for them;
• You have the right to share it, and where appropriate (or where the law requires it), you have their permission;
• It's accurate to the best of your knowledge, and limited to what's useful for nudges; and
• You won't enter sensitive details about them (such as health conditions beyond simple allergy or dietary notes, sexual orientation, financial account details, government ID numbers, or immigration status), or information you got by accessing their device, accounts, or messages without permission.

We may delete partner information that appears to violate these Terms or that the person it's about asks us to remove, where appropriate or legally required.

4. Acceptable use

GoodNudgin is about care, not control. You agree not to:

• Use the Service to monitor, track, stalk, harass, threaten, manipulate, control, or deceive anyone, including your partner;
• Try to locate or track another person (GoodNudgin never tracks partner location, and requests to do so will be declined);
• Use the Service in connection with abuse, coercion, or anything illegal;
• Enter information about someone under 18 beyond simple household context, or about anyone you're not in a relationship with;
• Upload content that's unlawful, hateful, sexually explicit involving others without consent, or that infringes someone's rights;
• Impersonate anyone or create accounts for other people;
• Try to get around Goodie's safety features, or try to make Goodie produce harmful content;
• Scrape, reverse engineer, overload, probe, or interfere with the Service, or access it through automated means except as we allow;
• Access another user's data or our systems without authorization; or
• Resell or commercially exploit the Service without our written permission.

We may suspend or end accounts that break these rules, and we may report illegal activity to the authorities.

5. Your content

"Your content" means what you put into GoodNudgin: your profile, your partner's profile and preferences, your choices and check-ins, messages to Goodie, and feedback.

• You own your content. You give us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and use it only to operate, personalize, secure, and improve the Service, as described in our Privacy Policy. This license ends when you delete your content or account, except for copies in backups for a limited time, or what we must keep by law.
• Feedback and ideas. If you send us suggestions (like nudge ideas or feature requests), we may use them without owing you anything. We won't publicly attribute them to you without your permission.

Voice input

If you choose to answer by voice, your recording is sent to our speech-to-text provider (Groq) to be converted into text; we don't store the audio. Speech-to-text can make mistakes, so review and correct the transcript before you submit it. You're responsible for what you submit. Only record yourself, and don't record other people without their permission. See our Privacy Policy for details.

6. Our content and the Service

GoodNudgin, Goodie, our nudge library, designs, logos, and software belong to GoodMoyer or its licensors. We give you a personal, limited, non-transferable, revocable license to use the Service for your own non-commercial purposes under these Terms. You're welcome to act on nudges in your own relationship; please don't copy or republish our nudge library or materials in bulk.

Love-related terms. GoodNudgin talks about the different ways people feel loved (for example, kind words, quality time, help with tasks, gifts, and physical affection). GoodNudgin is not affiliated with, endorsed by, or sponsored by The 5 Love Languages® or its author or publisher. [Attorney: confirm trademark notice wording.]

7. Notifications and text messages

• Push notifications (future). If you turn them on, we'll send nudge notifications to your device. You can turn them off in the app or your device settings.
• Text messages (future). If you opt in to texts, you agree to receive recurring automated messages from GoodNudgin (sent through our provider, Twilio) at the number you provide, such as nudges, check-ins, and account messages. Message frequency varies. Message and data rates may apply. Reply STOP to cancel and HELP for help. Consent isn't a condition of purchase. Carriers aren't liable for delayed or undelivered messages. You must be the account holder or authorized user of the number you provide, and you must tell us if it changes. We'll only text your partner if your partner opts in themselves. [Confirm final SMS terms against Twilio, CTIA, and 10DLC / toll-free registration requirements, and separate consent for any promotional texts.]

8. Free features, Pro subscriptions, and trials

• Free. Some features are free. We may change what's included in the free tier.
• Pro. Pro is a paid subscription for extra features [describe Pro features at launch]. Prices are [price] per [billing period], plus applicable taxes.
• Free trial. We may offer a free trial of Pro for [15 days]. [Decide whether a payment method is required up front.] We'll tell you the trial's end date and remind you [X days] before it ends. If you don't cancel before the trial ends, [your subscription will begin and you'll be charged / you'll return to Free].
• Auto-renewal. Paid subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. We'll tell you before any price change.
• Canceling. You can cancel anytime in [Settings › Subscription] or by emailing hello@goodnudgin.com. Cancellation takes effect at the end of your current billing period, and you'll keep Pro until then.
• Refunds. [Refund policy placeholder, e.g., no refunds for partial periods except where required by law.]
• Payments are processed by Stripe, subject to Stripe's terms. You authorize us (through Stripe) to charge your payment method for the subscription you choose.

9. Sponsored suggestions and third-party services

• Sponsored ideas (future). Some suggestions may come from businesses that pay us. They'll be clearly labeled "Sponsored." We don't endorse sponsors, and your dealings with them (including purchases, reservations, and their products or services) are between you and them.
• Third-party services. The Service relies on and may link to third parties (such as Google sign-in, our hosting and database providers, Groq for optional voice input, and in the future Twilio, Stripe, and AI providers). Their own terms and privacy policies apply to your use of their services, and we're not responsible for them.

10. Changes, availability, and ending your account

• The Service will change. We're early, and we may add, change, or remove features. Some features may be offered as a pilot or beta and may be less reliable. We don't promise the Service will always be available or error-free.
• You can stop anytime. You can reset or delete your account as described in our Privacy Policy.
• We may suspend or end your access if you break these Terms, if we're required to by law, or if we stop offering the Service. Where reasonable, we'll give you notice. If we discontinue a paid service, we'll provide a prorated refund for prepaid time you couldn't use [confirm].
• Sections that by their nature should survive (such as 5, 6, and 11–15) survive termination.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT NUDGES OR AI-GENERATED CONTENT WILL BE ACCURATE, APPROPRIATE, OR RESULT IN ANY PARTICULAR OUTCOME FOR YOUR RELATIONSHIP, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Some states don't allow certain disclaimers, so some of these may not apply to you.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• GOODMOYER AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WON'T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR EMOTIONAL DISTRESS, OR FOR RELATIONSHIP OUTCOMES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE'VE BEEN TOLD THEY'RE POSSIBLE.
• OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) [US $100].

These limits don't apply where the law doesn't allow them, such as liability for gross negligence, willful misconduct, or certain personal injury. Some states don't allow these limitations, so they may not fully apply to you.

Indemnity. To the extent permitted by law, you agree to defend and indemnify GoodMoyer against third-party claims arising from your misuse of the Service, your violation of these Terms, or information you entered about another person without the right to do so. 13. Disputes, arbitration, and class-action waiver

• Try talking to us first. Most concerns can be solved quickly. Before filing a claim, email hello@goodnudgin.com with a description of the issue, and we'll both try in good faith to resolve it informally for [60 days].

14. Governing law

These Terms are governed by the laws of the State of [governing-law state] and applicable US federal law, without regard to conflict-of-law rules. Subject to Section 13, disputes will be heard in the state or federal courts located in [county, state], and you and we consent to that venue. Nothing here takes away protections you have under the consumer laws of the state where you live. [Attorney to confirm.]

15. Other terms

• Changes to these Terms. We may update these Terms. We'll change the "Last updated" date, and for material changes we'll give you notice in the app or by email at least [30 days] before they take effect. If you keep using the Service after changes take effect, you accept them; if you don't agree, you can stop using the Service and delete your account.
• Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
• Severability and waiver. If part of these Terms can't be enforced, the rest still applies. Not enforcing a term right away doesn't waive it.
• Assignment. You may not transfer these Terms. We may transfer them in connection with a merger, acquisition, or sale of assets, or to an affiliate.
• No third-party beneficiaries. These Terms don't give rights to anyone else, including your partner.
• Electronic communications. You agree we can send you notices electronically (in the app or by email).
